Associate — Capital Markets, New York

Leading international law firm in New York is seeking an associate with experience in capital markets to join a busy securities practice. The role focuses on representing issuers, underwriters and other financial intermediaries on a wide range of equity and debt offerings and related disclosure matters.

Day-to-day work includes drafting and negotiating registration statements, prospectuses and offering memoranda, underwriting and placement agreements, indentures and other transaction documents; participating in due diligence; and advising on ongoing public-company reporting and disclosure. The team handles complex and innovative capital markets transactions across public and private offerings.

• Juris Doctor (JD) or equivalent and admission to practice in New York (or imminent eligibility).
• At least 3 years of capital markets / securities transactional experience.
• Proven experience drafting and negotiating offering and disclosure documents and participating in due diligence.
• Strong written and verbal communication skills, attention to detail, and ability to work collaboratively on fast-paced transactions.
