Leading corporate practice seeking a transactional associate with 3–6 years of experience advising crypto and web3 companies. Work will focus on token and digital-asset transactions, venture financings, and general corporate matters for growth-stage technology clients.

Deal work includes token and NFT issuances, primary and secondary token/digital-asset sales, token-related rights and warrants, and creation of offshore structures for digital-asset offerings. Candidates should understand blockchain technology and market dynamics; familiarity with securities and regulatory issues affecting tokens is a plus.

Preferred location is San Francisco; strong candidates in Los Angeles or New York will also be considered. The role is within a nationally recognized technology-focused firm and offers a robust benefits package.

3–6 years post-qualification transactional experience advising crypto / web3 companies
Experience with venture capital financings and equity/crypto token-related instruments
Experience with token, digital-asset and NFT issuances and primary/secondary sales
Comfort structuring offshore arrangements related to digital-asset offerings
Familiarity with corporate, compensation and employment issues for growth companies
Strong understanding of blockchain technology and market dynamics; securities/regulatory knowledge a plus
