Top-tier corporate team in Chicago is seeking a 2nd–4th year associate to join the public company representation / capital markets desk. The group advises public companies and boards on corporate governance, SEC and stock-exchange compliance, periodic reporting and proxy matters.

The role involves counseling directors and senior management on regulatory and disclosure obligations, preparing proxy statements and periodic reports (e.g., Forms 10-K/10-Q/8-K), and collaborating with colleagues across capital markets, M&A, executive compensation, employment and related practices. The team regularly works on cross-border and regulatory-sensitive matters.

Minimum of 2 years' experience in capital markets/public company representation
Experience with SEC reporting, proxy statements and other public-company disclosure obligations
Strong drafting and analytical skills; comfortable working on cross-practice, multi-jurisdiction matters
Ability to work collaboratively on high‑profile, time-sensitive assignments
