Associate — Corporate & Securities (M&A) — Palo Alto

Silicon Valley office of a national law firm is seeking a corporate associate with 3–5 years' experience to join its Corporate & Securities — Technology team. The group advises entrepreneurs, venture capitalists and emerging growth companies across company formation, financings, governance, technology transactions, acquisitions and public offerings.

The role focuses on mergers & acquisitions for public and private companies: drafting and negotiating acquisition agreements and ancillary documents, managing and closing transactions, supervising junior associates, and handling general corporate matters for emerging technology clients. California bar admission is strongly preferred but not required.

Compensation range (CA): $250,000–$345,000, final offer dependent on experience and skill set.

• 3–5 years' corporate/M&A experience (public and private transactions)
• Experience with emerging technology companies, including formation, seed/venture financings, governance and compliance
• Strong drafting, negotiation and transaction-management skills; experience supervising junior lawyers
• High academic achievement and strong oral, written and interpersonal skills; commercial judgment and ability to work in a fast-paced, team environment
• California bar admission strongly preferred; public company/IPO experience a plus
