Associate — Corporate (Shareholder Activism & Capital Markets) — New York

Mid-level associate opportunity in New York for an attorney with experience in securities, capital markets, corporate governance and shareholder activism. You will work closely with senior deal lawyers on high-stakes matters and play an active role on both activism campaigns and equity capital markets transactions.

Typical responsibilities include advising on shareholder activism and governance issues, handling equity capital markets work (underwritten offerings, PIPEs, registered directs and confidentially marketed public offerings), drafting registration statements and Exchange Act disclosure, and supporting deal strategy and client relationship development.

• JD or equivalent and admission to practice in New York
• Demonstrated experience in securities law, corporate governance and shareholder activism matters
• Experience with equity capital markets transactions and Exchange Act/registration statement drafting
• Strong drafting, negotiation and transaction-management skills; able to work independently and as part of cross-functional teams in fast-paced matters
