Mid-level corporate associate opportunity supporting emerging growth companies and venture capital investors. You will advise on the full lifecycle of private-company matters, including formations, venture financings, corporate governance, M&A and other strategic transactions, and act as outside corporate counsel to early- and later-stage companies.

The role involves drafting and negotiating VC financing documents (term sheets, convertible instruments, NVCA-style documents), managing due diligence and closings, and working directly with clients and outside counsel. The team values strong drafting, research, and relationship-management skills.

Hybrid in-office schedule expected (minimum three days per week). Candidates must be or be able to become licensed in the hiring jurisdiction and reside in that jurisdiction at the time of hire.

3–5 years' corporate experience with emerging companies and venture capital work
Experience drafting and negotiating VC financings (term sheets, convertible notes, NVCA-style documents)
Experience with corporate governance, M&A diligence and transactional closings
JD from an accredited law school and able to be licensed in the hiring jurisdiction
Strong research, drafting, and client-management skills; willingness to work in-office at least three days/week
