Top-tier corporate practice is seeking a mid-level associate for its Emerging Growth & Venture Capital team. This fully remote role (open to U.S. locations) will focus on venture financings, M&A diligence and corporate governance for emerging growth companies and their investors.

The position is part of a professional-track program and offers significant client-facing and deal execution responsibility, including drafting and negotiating financing documents and managing diligence for transactional matters.

JD and 5–8 years of experience in emerging growth / venture capital transactions
Hands-on experience with venture financing documents (NVCA, Series Seed, Y Combinator templates), preferred stock financings, bridge and SAFE financings
Experience managing due diligence for M&A and venture financings and advising on corporate governance matters
Strong drafting, communication and project-management skills; ability to supervise and mentor junior lawyers
Prior experience at a major law firm (AmLaw 100 experience preferred)
