Growing Executive Compensation & Benefits team seeks a 2–3 year associate to advise public and private companies, emerging growth clients, executives, boards, and compensation committees on complex compensation and benefits matters. The role offers geographic flexibility with options to be based in Austin, Los Angeles, San Francisco, or Silicon Valley.

Associates work closely with corporate deal teams and cross‑office colleagues, receive hands‑on responsibility early, and benefit from formal mentorship while developing technical expertise in compensation structuring, disclosures, and ERISA-related compliance.

Typical matters include 280G analysis for M&A, financings and IPOs, executive hires and departures, equity and incentive plans, Section 409A issues, employee benefit compliance, and public reporting and disclosure obligations.

  • J.D. or foreign equivalent (LL.M. considered in lieu of J.D.)
  • 2–3 years’ relevant experience in executive compensation and employee benefits
  • Prior or current experience at a national or Am Law 100 firm preferred
  • Strong legal research, writing, analytical skills and excellent oral communication
  • Admission to, and good standing with, the bar in the jurisdiction(s) where the associate will practice
