Apply in confidence →Leading New York corporate team seeks an associate to join its Executive Compensation group. The role involves advising public and private companies, boards and senior executives on executive pay, equity-based arrangements and related corporate governance and securities issues.
Work will be transactional and advisory, supporting M&A, IPOs, restructurings and other strategic matters where executive compensation and benefits are important. You will collaborate closely with tax, general corporate and employee benefits colleagues on plan design, disclosure and compliance questions.
- J.D. and admission to practice in New York (or eligible to be admitted)
- Minimum ~2 years of law firm experience in corporate practice; preference for executive compensation experience (beyond solely ERISA/benefits)
- Experience on transactional and advisory matters (M&A, IPOs, restructurings) involving executive pay and equity awards
- Strong drafting, regulatory awareness (securities/disclosure) and ability to work with cross‑disciplinary teams
