Apply in confidence →Top-tier international law firm office in New York is seeking a mid-level associate for its finance and securitization practice. The role focuses on drafting, negotiating and documenting indentures, credit agreements, offering circulars and other capital-markets and asset‑backed finance documentation.
You will provide securitization structuring advice on cross-practice and cross-border transactions, coordinate with colleagues across multiple jurisdictions, and support legal analysis on US issues such as credit risk retention, true sale, bankruptcy, ERISA and tax as they relate to asset-backed financings.
The position regularly interfaces with banks and large corporate issuers and requires active participation in signing, closing and post‑closing processes on complex transactions.
- Master of Laws or foreign equivalent (or JD) and approximately 3 years' relevant experience in finance/securitization transactions.
- Proven experience drafting, negotiating and finalizing securitization, capital markets and asset‑backed finance documentation.
- Experience advising on US securities law (e.g., Rule 144A/Reg S), credit risk retention and related regulatory issues.
- Ability to work on cross‑border matters and coordinate with teams in multiple jurisdictions.
- Admission to practice in New York required.
