Seeking a Jr.-to-Mid level associate to join a national fund formation and investment management practice. The role is based in Boston, with consideration given to candidates in Chicago, Dallas, or New York; remote/alternate office arrangements may be considered based on experience and business need.

The team advises GPs and LPs across the private funds lifecycle, including fund and management company structuring, investor negotiations, secondary transactions (buy- and sell-side) and GP-led restructurings. The role also involves counseling on Investment Advisers Act registration, fund-related securities matters and compliance issues, and requires regular drafting and collaboration with senior lawyers and clients.

  • 2–5 years of relevant fund formation and investment management experience
  • Experience with fund and management structuring, investor negotiations, secondary LP transactions and GP-led restructurings
  • Working knowledge of Investment Advisers Act registration, securities issues for private funds, and fund compliance
  • Strong drafting skills, teamwork, client-facing experience, and a proactive work ethic
  • JD from an ABA-accredited law school and active bar membership in jurisdiction(s) of admission; timely admission in the hiring office state required
