Apply in confidence →Mid-level associate role in a national investment funds practice, focused on private equity fund formation and related fund matters. The team advises fund sponsors and institutional investors on fund formation, governance and fund-related transactions.
Typical work includes preparing and negotiating private placement memoranda, partnership agreements and ancillary documents; reviewing and negotiating fund documentation on behalf of institutional investors; and structuring and drafting governing documents for management companies and general partners. Experience with private equity secondaries and GP-led restructurings is a plus.
Candidates will be considered for placement in the Chicago office (with additional consideration for other major U.S. offices). Membership in the state bar for the office jurisdiction is required.
- 4–6 years’ relevant private equity / fund formation experience at a large law firm or comparable in-house role
- Proven experience drafting and negotiating PPMs, partnership agreements and related fund documents
- Familiarity with securities rules and the Investment Advisers Act
- Admission to the state bar of the hiring office
