Mid-level associate opportunity in an intellectual property transactions team based in San Francisco. The role focuses on technology and IP licensing, support for IP aspects of M&A and other corporate transactions, and a range of commercial technology agreements.

Typical matters include technology and IP due diligence for deals, drafting and negotiating joint development/collaboration agreements, software and SaaS licensing and services agreements, and distribution/OEM/reseller arrangements. Experience with open-source licensing and IP issues arising from AI tools is strongly preferred.

Several years' associate experience in technology/IP licensing and commercial tech transactions
Experience supporting IP due diligence in M&A and other corporate deals
Proven drafting and negotiation skills (licenses, SaaS/services, joint development, distribution/OEM/reseller agreements)
Familiarity with open-source licensing and AI-related IP issues preferred
Strong academic record, excellent written and verbal communication skills, and bar admission or near-term eligibility
