Associate — M&A & Private Equity, New York

Top-tier New York office seeking a mid-level corporate associate to join a busy M&A and private equity practice. The role focuses on public and private transactional work for corporate clients, with regular involvement in public-company deals.

Day-to-day responsibilities include drafting and negotiating merger and purchase agreements, handling complex joint-venture arrangements, preparing public-company filings related to transactions (e.g., 8-Ks, merger proxies), and supervising and mentoring junior associates. Candidates must be admitted to practice in New York.

• Approximately 4 years of transactional experience (public and private M&A and/or private equity).
• Demonstrated experience drafting and negotiating merger and purchase agreements and related transactional documents.
• Experience preparing public-company filings (e.g., 8-Ks, proxy disclosures).
• Ability to supervise and mentor junior lawyers; strong drafting, negotiation, and project-management skills.
• Admission to the New York bar required.
