Top-tier West Coast corporate team is seeking a mid-level associate to join its Palo Alto (or San Francisco) capital markets and public companies practice. The role focuses on public company reporting, SEC disclosure and governance issues, and day-to-day compliance for listed issuers.

Work will include representing issuers or placement agents in public and registered offerings (IPOs, follow-ons, debt offerings, at-the-market programs, and PIPEs) and advising clients in the technology and life sciences sectors.

Approximately 5 years' public company and capital markets experience (PQE ~5 years)
Practical experience with SEC reporting, disclosure controls, governance, and Nasdaq/NYSE listing rules
Experience advising on equity and debt offerings, IPOs, and PIPEs; familiarity with issuer- and underwriter-side workflows
Strong drafting and transactional skills; comfort advising technology and/or life sciences clients preferred
