Capital Markets Associate — New York

Top-tier global law firm seeks a mid-to-senior level Capital Markets Associate for its New York office. The role offers significant exposure to public and private securities transactions and ongoing public-company reporting and governance matters.

Day-to-day work will focus on public and private equity and debt offerings (including IPOs and follow-on offerings), registration statements and proxy/SEC disclosure in connection with business combinations, and counseling public companies on reporting and corporate governance. The team advises a range of issuer and underwriter clients across industries.

• 5–7 years' securities / capital markets experience at a peer BigLaw firm
• Experience with public and private equity and debt offerings, IPOs, follow-ons, and S-4/proxy disclosure
• Familiarity interfacing with the SEC and ongoing reporting under the ’34 Act (10-K, 10-Q, 8-K, proxy statements)
• Experience representing issuers and/or underwriters and advising on corporate governance matters
• Strong drafting, negotiation and client-management skills
• Admission to the New York Bar
