Capital Markets Associate — New York

Leading international law firm seeks a capital markets associate to join its New York office (option for nearby New Jersey location). The role focuses on public company reporting and compliance, corporate governance and transactional capital markets work for issuers and underwriters across life sciences, technology and digital-asset sectors.

Day-to-day responsibilities include drafting and reviewing securities filings (periodic reports, proxies, Section 13/16 disclosures), supporting public offerings and other capital markets transactions, and advising on exchange listing and governance matters. The team advises both large-cap and mid-cap public companies and works collaboratively across practice groups.

The position offers hybrid working and development opportunities in a sizable, national capital markets practice within a large global firm.

• JD from an accredited law school and bar admission in the applicable state.
• Approximately 5 years' capital markets experience; prior experience with public company reporting and SEC filings required.
• Strong knowledge of the Securities Act of 1933, Exchange Act of 1934, and NYSE/Nasdaq listing and governance rules.
• Excellent written/verbal communication, legal research and drafting skills; ability to manage transactions and collaborate across teams.
