Capital Markets Associate — Northern Virginia

Mid-level associate opening in a national corporate securities group based in Northern Virginia. The role focuses on representing issuers and underwriters in public and private capital markets transactions and advising public companies on ongoing reporting and governance matters.

Work will include IPOs, follow-on offerings, registration statements (including S-4s), proxy statements and interactions with the SEC and other regulators. Candidates will join a team handling a range of transactional matters across industries.

• 3–5 years of securities / capital markets experience (public and private offerings)
• Experience with IPOs, follow-on offerings, proxy statements and S-4 registration statements
• Familiarity with SEC reporting under the Securities Exchange Act of 1934 (10‑K, 10‑Q, 8‑K, proxy disclosures) and regulatory interactions
• Experience representing issuers and/or underwriters; SPAC/deSPAC and debt offering experience beneficial
• Day-to-day public company counseling and corporate governance experience
• Strong academic record, drafting and negotiation skills, and admission to one or more state bars
