Capital Markets / Securities Associate — New York

Growing capital markets practice seeking a securities associate to work on public and private offerings and related corporate finance matters. The role is based in New York (multiple U.S. offices also possible) and involves counseling issuers, underwriters and institutional investors on complex disclosure, regulatory and transactional issues under U.S. securities laws.

Typical matters include registered and private offerings of equity and equity-linked securities, ATM programs, convertible financings, and alternative public market pathways such as reverse mergers, de-SPACs and direct listings. The team handles high‑complexity transactional work for domestic and cross‑border clients.

• 3+ years' PQE in capital markets / securities at a major law firm
• Strong knowledge of the Securities Act, Exchange Act and relevant exchange rules
• Proven drafting, negotiation and communication skills on disclosure and offering documents
• Ability to manage multiple matters in a fast‑paced environment
• JD from an accredited law school and admission to the New York bar
