Global law firm is seeking a Compensation & Benefits Associate to join a national practice supporting public and private company matters. The role focuses on equity and executive compensation, including drafting and negotiating employment and severance agreements, preparing proxy and disclosure materials, and advising on IRC Sections 280G and 409A.

Candidates will work on transactional matters across M&A and capital markets (including IPOs) and collaborate with cross-practice teams on compensation design and compliance. The team values clear drafting, practical problem-solving and responsiveness to client needs.

3–6 years of relevant experience in compensation & benefits (equity and executive compensation)
Hands-on experience with proxy disclosures, employment and severance agreements, and IRC Sections 280G and 409A
Experience on M&A and IPO-related compensation matters
Excellent academic record, strong drafting, oral communication and analytical skills
