Join a national compensation & benefits practice as an associate supporting a broad range of equity and executive compensation matters. The role involves drafting and advising on equity arrangements, proxy disclosure, employment and severance agreements, and tax-sensitive provisions under IRC Sections 280G and 409A.

Work will include deal-related and transactional matters such as M&A and IPO work as well as routine employee benefits and executive compensation counseling. The team is seeking a collaborative, detail-oriented attorney with strong writing, oral communication and analytical skills.

  • 3–6 years of PQE in compensation & benefits, executive compensation or employee benefits practice
  • Experience with equity-based compensation, proxy disclosures, and employment/severance agreements
  • Knowledge of IRC Sections 280G and 409A and experience on M&A and IPO matters
  • Excellent academic credentials, strong writing, oral communication and analytical skills
