Apply in confidence →Top-tier US law firm is seeking a 3rd–6th year Associate to join its Compensation & Benefits (ERISA/C&B) practice in the San Francisco office. The role focuses on advising public and private clients on equity and executive compensation matters across corporate transactions and securities work.
Day-to-day work includes drafting and advising on equity and executive compensation plans and agreements, proxy disclosure and related securities filings, tax-qualified deferred compensation issues under IRC Sections 280G and 409A, and supporting M&A and IPO matters. The team values strong writing, communication and analytical skills.
The firm offers a comprehensive benefits package and parental leave programs. The expected annual pay range for this position is $260,000–$390,000 (final offer depends on geographic location and experience).
- 3–6 years of post-qualification experience in compensation & benefits, equity compensation or executive compensation work
- Experience with equity plans, proxy disclosures/securities filings, IRC Sections 280G and 409A, and support on M&A and IPOs
- Excellent writing, oral communication and analytical skills; strong academic credentials
