Seeking a mid-level associate to join a national compensation & benefits practice in the firm's San Francisco office. The role focuses on executive and equity-based compensation matters across corporate transactions and public company work.

Typical matters include equity and executive compensation design and documentation, proxy disclosure, employment and severance agreements, advising on IRC Sections 280G and 409A, and supporting M&A and IPO processes. The team values strong drafting, communication and analytical skills.

  • 3–6 years of prior experience in compensation & benefits (equity and executive compensation)

  • Excellent academic record, superior writing, oral communication and analytical skills
