Compensation & Benefits Associate — San Francisco

Seeking an associate to join a national firm’s Compensation & Benefits practice in San Francisco. The role focuses on executive and equity-based compensation matters across corporate transactions and public company work.

Key work includes equity and executive compensation, proxy disclosure support, employment and severance agreements, IRC Sections 280G and 409A guidance, and transactional support on M&A and IPOs. The team advises across client types and industries on plan design, transaction-related compensation issues, and disclosure obligations.

• 3–6 years of post-qualification experience in compensation & benefits or executive compensation practice
• Hands-on experience with equity awards, executive compensation, proxy disclosure, and IRC Sections 280G and 409A
• Transactional experience supporting M&A and IPOs and drafting employment/severance agreements
• J.D. and active bar admission or eligible for admission; excellent writing, analytical, and communication skills
