Seeking an associate to join a national compensation & benefits practice in the San Francisco office. The team advises on executive and equity-based compensation matters across transactions, public company work and employee benefit compliance.

Typical engagements include drafting and negotiating equity and executive compensation arrangements, preparing proxy disclosure, counseling on IRC Sections 280G and 409A, and supporting M&A and IPO matters. The group values strong writing, analytical ability and client-facing communication skills.

J.D. and admission to practice (or pending admission) in the relevant U.S. jurisdiction
3–6 years' PQE in compensation & benefits, with substantive experience in equity and executive compensation, proxy disclosures, and IRC 280G/409A
Experience supporting M&A and IPO-related compensation work
Excellent drafting, oral communication and analytical skills
