Corporate Associate — M&A & Private Equity, Cleveland

Growing corporate group in Cleveland seeks a team-oriented Associate to handle middle-market private equity and transactional matters. The role offers exposure to buy- and sell-side M&A, entity formation and governance, financings, restructurings, and ongoing client counseling.

The Associate will work closely with partners on deal execution, including drafting transaction documents, preparing and reviewing diligence materials and reports, and supporting post-closing matters such as purchase price adjustments and board-related deliverables. Experience with ESOP transactions is a plus but not required.

• 4–6 years' corporate/transactional experience (middle-market M&A, private equity, or similar)
• Strong drafting and negotiation skills; experience preparing purchase agreements, notes, resolutions, and employment agreements
• Proven ability to manage due diligence processes and produce diligence reports
• Sound business judgment, collaborative work style, and ability to work in a fast-paced deal environment; ESOP experience preferred
