Seeking an experienced corporate associate to join a busy fund-formation team in the firm’s Philadelphia office (New York candidates may also be considered). The role focuses on formation and structuring of private investment funds and related regulatory work.

Responsibilities include advising on fund formation and governance, private placements and offering documentation, securities and investment-adviser regulation (Securities Act, Investment Company Act, and Advisers Act), investor negotiations and day-to-day fund operations. The team regularly represents private equity, venture capital, hedge fund managers and family-office clients.

  • Approximately 7 years post-qualification experience in fund formation, private placements and securities regulation
  • Experience representing private equity, venture capital, hedge funds or family-office clients
  • Knowledge of Investment Company Act, Advisers Act and Securities Act compliance
  • Strong drafting and negotiation skills; experience with fund governance and operations
  • Excellent academic credentials and admission to the relevant state bar
