Growing U.S. capital markets team seeks a junior associate to support public and private securities offerings from the West Palm Beach office. The role provides regular exposure to equity and debt transactions, SEC filings, corporate governance matters, and cross-border work for a broad range of issuer and underwriter clients.

Day-to-day responsibilities include drafting and negotiating offering documents and disclosure filings, interfacing with regulators, and counseling public companies on ongoing reporting and governance obligations. The position offers client-facing experience across IPOs, follow-on offerings, deSPAC/de-SPAC-related work, and other capital markets matters.

2–3 years’ capital markets experience (public and private equity offerings, IPOs, follow-ons)
Experience with SEC filings and reporting obligations (S-1/S-4, 10-K, 10-Q, 8-K, proxy statements) and interacting with regulators
Comfort representing issuers and/or underwriters; SPAC and deSPAC experience a plus
Strong drafting, negotiation and client-management skills; excellent academic record
Admission to the Florida Bar or eligibility for admission required
