Growing corporate team seeks a mid‑senior level transactional attorney to join the Seattle office and support M&A, financing, corporate governance and general entity counseling matters. The role will focus on leading and supporting transactions for a mix of emerging, growth‑stage and established clients and will offer significant responsibility on Seattle‑led matters.

Day‑to‑day work includes managing portions of M&A and financing deals, drafting and negotiating purchase agreements, operating and shareholder agreements, and other commercial contracts, and advising on entity formation and governance. The hire will collaborate with attorneys across multiple offices and may supervise junior associates and support staff.

  • 5+ years of corporate/transactional experience, with significant exposure to M&A and financing matters.
  • Demonstrated experience managing material portions of transactions and strong drafting and negotiation skills.
  • Comfortable advising on corporate governance, entity formation/maintenance, and day‑to‑day counseling for a range of clients.
  • Ability to work independently and on multi‑office engagements; strong client communication and project management skills.
  • Admission to the Washington State Bar or ability to waive in.
  • Preferred: experience with real‑estate related corporate or financing matters and/or familiarity with tax‑exempt/nonprofit governance.
