Emerging Business & Venture Capital Associate — Miami

Seeking an associate to join a national firm’s Emerging Business & Venture Capital team in the Miami office. The role focuses on advising startups, emerging-growth and later-stage companies on corporate matters across the company lifecycle.

Typical work will include entity formations, seed and venture financings (convertible notes, SAFEs, priced rounds), venture capital and private equity transactions, federal securities and state blue sky compliance, private company M&A and divestitures, joint ventures, and equity compensation and employment-related issues. The team handles a mix of transactional and general corporate matters for venture-backed clients.

• 2–5 years post-qualification experience working with startups, emerging-growth companies, or in venture capital/in-house at a technology company
• Transactional corporate experience: financings (convertible notes, SAFEs, priced rounds), M&A, and joint ventures
• Familiarity with federal securities and state blue sky compliance and equity compensation matters
• Experience at a reputable law firm or relevant in-house/VC background preferred; strong drafting and deal-execution skills
