The team advises public and private companies on executive remuneration, incentives and employment tax across jurisdictions, covering remuneration policy, incentive design and disclosure and governance issues.
Work includes drafting and implementing equity and cash-based arrangements (all-employee plans, LTIPs, MIPs, deferred compensation and bespoke packages), and advising on remuneration aspects of corporate transactions such as M&A and IPOs. The role sits within an international practice with cross-border matters and broad industry exposure.
- Juris Doctor (J.D.) from an accredited US law school; strong academic record.
- Experience in executive compensation: design, structuring and implementation of equity-based and cash incentive arrangements; familiarity with retention and separation agreements.
- Substantive public and private M&A experience preferred.
- Admission to, or ability to waive into, the New York or Texas Bar.
- Prior experience at a peer law firm; entrepreneurial team-player mindset.
