Fund Formation Associate (2–4 years) — San Francisco

Seeking a 2–4 year associate to join a busy fund formation team in San Francisco. The role focuses on representing sponsors and investors across the lifecycle of private investment funds, with exposure to sponsor-level entity work and secondary transactions.

Day-to-day work will include drafting and negotiating partnership and management company documents, forming and structuring private funds, advising on sponsor-level arrangements, and supporting secondary purchases and transfers of LP and portfolio company interests.

• 2–4 years’ experience in private investment fund formation and related sponsor/investor matters
• Experience with sponsor-level entity work and secondary transactions involving LP or portfolio company interests
• Prior experience in the corporate/financial services group of a national or international law firm preferred
• Strong academic credentials and excellent drafting and negotiation skills
