The group works across contentious and non-contentious matters and partners closely with corporate, tax, regulatory and disputes teams on cross-cutting matters.
The role focuses on incentive arrangements including executive compensation, employee share plans, management equity and related tax, governance and securities issues. You will support public and private M&A, restructurings and capital markets work, and may be involved in executive employment matters and PE-backed transactions.
Expect hands-on drafting of plan documentation and participant communications, independent negotiation of incentive and remuneration issues, mentoring junior lawyers and contributing to business development and thought leadership initiatives.
- Qualified lawyer with approximately 2–6 years’ PQE in incentives, executive compensation or employee share plans.
- Strong technical grounding in tax, corporate, securities and employment law as it relates to incentive arrangements.
- Experience advising on incentive aspects of M&A, restructurings or capital markets transactions.
- Comfort working with clients such as listed companies, regulated businesses, multinationals and private equity‑backed entities; prior experience in a top‑tier incentives practice preferred.
- Commercial awareness, strong drafting and negotiation skills, and a collaborative team approach with willingness to mentor junior colleagues.
