Mid-level associate role in a national investment funds group, focused on private equity fund formation and related investment-management matters. The position involves drafting and negotiating fund documents and advising on fund governance and manager structures.

Typical matters include preparation and negotiation of private placement memoranda, limited partnership agreements and ancillary agreements, review of fund documentation on behalf of institutional investors, and structuring/drafting governing documents for fund managers and general partners. Experience with private equity secondaries and GP-led restructurings is a plus.

4–6 years' experience in private equity fund formation or investment-management practice
Proven drafting and negotiation experience with PPMs, LPAs and related fund documentation
Familiarity with relevant securities rules and the Investment Advisers Act
Prior experience at a large law firm preferred; in-house background considered in special circumstances
Bar admission in the office jurisdiction
