Apply in confidence →Mid-level associate role in a major international law firm’s investment funds practice, based in Charlotte with consideration for candidates interested in Chicago or New York. The team advises private equity sponsors and institutional investors on fund formation, governance and related securities matters.
Day-to-day work includes drafting and negotiating private placement memoranda, partnership agreements and ancillary fund documents; reviewing fund documentation for institutional investors; and structuring governing documents for management companies and general partners. Experience on private equity secondary transactions and GP-led restructurings is a plus.
Candidates must be admitted to the state bar for their office location and have prior experience at a large law firm or comparable in-house/transactional environment.
- 4–6 years' post-qualification experience in private equity fund formation and related securities work
- Experience preparing and negotiating PPMs, limited partnership agreements and ancillary fund documents
- Comfort reviewing fund documentation on behalf of institutional investors and negotiating fund economics/terms
- Working knowledge of relevant securities rules, including the Investment Advisers Act
- Experience with private equity secondaries and/or GP-led restructurings preferred
- Prior large-firm or comparable transactional experience; admission to the relevant state bar required
