Apply in confidence →Top-tier US law firm seeking a mid-level associate to join its Newport Beach office's executive compensation and benefits practice. The role focuses on advising on a wide range of executive and employee compensation matters across corporate transactions and securities work.
Key responsibilities include drafting and analyzing equity and non-equity incentive plans, deferred compensation arrangements, employment and severance/change-in-control agreements, and preparing compensation-related sections of SEC filings. The team advises on compensation issues arising in M&A, private equity investments, and other corporate transactions.
Strong academic credentials, excellent written and interpersonal skills, and the ability to work collaboratively while managing substantial individual responsibilities are required.
- 3–6 years' post-qualification experience in executive compensation and benefits work
- Experience drafting and analyzing equity and non-equity incentive plans, deferred-compensation arrangements, employment and severance/change-in-control agreements
- Experience preparing compensation-related portions of securities filings (SEC experience preferred)
- Juris Doctor and active bar admission or eligibility to be admitted; strong writing and teamwork skills
