Top-tier US law firm seeking a mid-level associate to join its Newport Beach office's executive compensation and benefits practice. The role focuses on advising on a wide range of executive and employee compensation matters across corporate transactions and securities work.

Key responsibilities include drafting and analyzing equity and non-equity incentive plans, deferred compensation arrangements, employment and severance/change-in-control agreements, and preparing compensation-related sections of SEC filings. The team advises on compensation issues arising in M&A, private equity investments, and other corporate transactions.

Strong academic credentials, excellent written and interpersonal skills, and the ability to work collaboratively while managing substantial individual responsibilities are required.

3–6 years' post-qualification experience in executive compensation and benefits work
Experience drafting and analyzing equity and non-equity incentive plans, deferred-compensation arrangements, employment and severance/change-in-control agreements
Experience preparing compensation-related portions of securities filings (SEC experience preferred)
Juris Doctor and active bar admission or eligibility to be admitted; strong writing and teamwork skills
