Mid-Level Associate — IP & Technology Licensing, New York

Seeking a mid-level associate to join a busy Intellectual Property Transactions team in New York. The role focuses on technology and IP licensing and related commercial technology transactions, with significant support for M&A-related IP due diligence.

Work will include drafting and negotiating joint development and collaboration agreements, technology and software licenses (including SaaS), services and distribution agreements (OEM/VAR/reseller), and other commercial IP documents. Experience navigating open-source license terms and IP issues arising from artificial intelligence tools is strongly preferred.

• Mid-level associate with demonstrable experience in technology/IP licensing and commercial tech transactions
• Experience conducting intellectual property and technology due diligence in M&A or other corporate transactions
• Proven ability drafting and negotiating collaboration, licensing, SaaS, services, and distribution agreements
• Familiarity with open-source licensing and AI-related IP issues preferred
• Strong academic record, excellent written and verbal communication skills, and relevant bar admission or prompt eligibility
