Mid-Level Associate — Shareholder Engagement & Activism Defense (New York or San Francisco)

Seeking a mid-level corporate associate to join a Shareholder Engagement and Activism Defense practice. The role sits within a multidisciplinary corporate governance and M&A team advising public and private company boards and management on activist engagements, shareholder proposals, governance disputes and related securities matters.

Candidates will be considered for the New York or San Francisco office. The team works closely with transactional and securities lawyers to provide strategic, litigation-adjacent and transactional responses to shareholder activism and governance challenges.

Admission to either the New York or California bar is required; excellent client-facing skills and the ability to manage complex matters with senior lawyers are essential.

• 3–6 years of post-qualification experience with substantive exposure to shareholder engagement, activism defense or corporate governance matters
• Experience with securities law and M&A transactions or public-company advisory work
• Admission to the New York or California bar
• Strong drafting, oral advocacy and client-counseling skills; ability to work collaboratively across practices
