Mid-Level Capital Markets & M&A Associate — Miami

Seeking a mid-level associate to join a busy corporate practice in Miami focused on capital markets and public company matters. The role centers on representing issuers in public and private offerings, SEC and exchange reporting, and related corporate governance and disclosure counseling.

Responsibilities include drafting and reviewing offering and disclosure documents, preparing Exchange Act filings (Forms 10-K, 10-Q, 8-K, proxy statements), interfacing with regulators, and supporting public and private M&A matters. • 3–5 years of transactional experience in capital markets and securities law
• Demonstrated experience representing issuers in public and private debt and equity offerings
• Working knowledge of SEC reporting and Exchange Act filings (10-K, 10-Q, 8-K, proxies)
• Experience counseling public companies on disclosure, corporate governance, and stock exchange compliance
• Public and private M&A experience is a plus
• Strong interpersonal and written communication skills, maturity, and business sense
• Excellent academic credentials; prior experience at a large regional, national, or international law firm preferred
