Mid-Level Capital Markets & M&A Associate — New York

Seeking a mid-level associate to join a busy Capital Markets and Corporate/M&A practice in New York. The role focuses on representing issuers in public and private offerings, counseling public companies on disclosure and corporate governance, and handling SEC and stock exchange reporting and compliance.

Responsibilities include preparation and review of Exchange Act filings (Forms 10-K, 10-Q, 8-K, proxy statements), interfacing with regulators, and supporting public and private M&A matters. • 3–5 years of securities/corporate experience, with capital markets work representing issuers in public and private offerings
• Direct experience with SEC reporting, Exchange Act filings (10-K, 10-Q, 8-K, proxy statements) and stock exchange compliance
• Familiarity interfacing with the SEC and other regulators
• Public and private company M&A experience is a strong plus
• Strong interpersonal and written communication skills, maturity, and client-management ability
• Excellent academic credentials; experience at a large regional, national, or international law firm preferred
