Midlevel Associate — Investment Management (Private Funds) — Boston

Well-established investment management team in Boston seeks a midlevel associate with private funds experience. The role focuses on fund formation and related transactional work across hedge funds, private equity and venture capital strategies.

Typical responsibilities include structuring and drafting fund and management entity documentation, advising on carried interest and bonus arrangements, supporting GP-led secondary restructurings, and assisting institutional investors on fund investments and co-investments. The position requires familiarity with private fund structures and the regulatory framework governing managers and funds.

Must be resident in the Boston office and an active member of the Massachusetts bar.

• 3–5 years' experience at a large law firm in investment management/private funds work
• Strong fund formation and fund documentation drafting skills (funds, management entities, compensation/carry arrangements)
• Experience with secondary transactions and/or GP-led restructurings, and with institutional investor work or co-investments
• Active Massachusetts bar admission and ability to work from the Boston office
