Top‑tier technology practice in Palo Alto seeks a mid‑level associate to join an Intellectual Property Transactions & Strategies team. The role focuses on technology and IP licensing work and supporting corporate deals through IP and technology diligence.

Day‑to‑day work includes drafting and negotiating licensing, SaaS and services agreements, joint development and collaboration agreements, and distribution/OEM/reseller arrangements, plus providing IP support for M&A and other corporate transactions. Experience with open source licensing and IP issues raised by artificial intelligence technologies is strongly preferred.

The team operates in a collaborative, cross‑practice environment servicing high‑growth technology clients and sophisticated corporate matters.

Several years' experience in technology/IP licensing and related commercial agreements.
Experience conducting IP/technology diligence for M&A or other corporate transactions.
Skilled at drafting and negotiating joint development, collaboration, SaaS/software, and distribution/OEM/reseller agreements.
Familiarity with open source licensing and AI‑related IP issues strongly preferred.
Excellent written and verbal communication and strong academic credentials.
Bar admission or eligibility to obtain admission promptly.
