Top‑tier IP transactions team in Boston seeks a mid‑level associate to handle technology and intellectual property licensing and related commercial agreements. The role supports technology transactions across the deal lifecycle and provides IP-focused support on corporate matters, including M&A due diligence.

Day‑to‑day work includes drafting and negotiating licenses, SaaS and services agreements, joint development and collaboration agreements, and distribution/OEM/reseller contracts, as well as advising on open source and AI‑related IP issues. The role involves collaborating with corporate teams on IP aspects of transactions and cross‑practice matters.

Law degree with outstanding academic record; relevant bar admission (or near‑term eligibility)
Significant experience in technology/IP licensing and technology transactions
Experience conducting IP and technology due diligence in M&A and other corporate transactions
Proven drafting and negotiation skills for licenses, SaaS, collaboration/JDA, and distribution agreements
Familiarity with open source licensing and IP issues related to AI/ML strongly preferred
