Midlevel Corporate M&A Associate — Pittsburgh

Top-tier corporate practice seeking a midlevel associate to join a national M&A team. The role is based in Pittsburgh (other regional offices possible) and focuses on buy- and sell-side transactional work across private company and sponsor-driven deals.

Responsibilities include drafting, negotiating and managing merger agreements, stock and asset purchase agreements, letters of intent and related transactional documents; conducting legal due diligence; and supporting representation & warranty insurance processes. You will work closely with experienced partners who provide mentoring and opportunities for increased client responsibility.

• 3–5 years of corporate/M&A experience; private equity transaction experience preferred
• Proven experience drafting, reviewing and negotiating merger, stock purchase and asset purchase agreements
• Familiarity with joint venture/partnership and LLC operating agreements and conducting transactional due diligence
• Experience with representation & warranty insurance underwriting and related issues
• Strong academics, excellent communication skills, ability to work independently and as part of a team
