Top-tier firm seeks a mid- to senior-level associate to join a busy life sciences transactional group in San Francisco. The team represents public and private life sciences companies and healthcare-focused investment funds on a broad range of corporate matters.

Work will focus on public capital markets and private financings, SEC reporting and public and private M&A, including structured transactions such as earnouts, product acquisitions and spin-outs. The group is collaborative and offers strong exposure to high-profile life sciences transactions and growth opportunities for the right candidate.

Mid- to senior-associate level (law school years cited: 2018–2022)
Experience with public capital markets (IPOs, follow-on offerings, ATM facilities) and private financings (PIPEs, venture financings)
Familiarity with 1934 Act reporting obligations (Forms 10-K, 10-Q, 8-K)
Experience on public and private M&A, including structured deals (earnouts, product acquisitions, spin-outs)
California bar admission or prompt eligibility required
Strong drafting, deal-management and client-facing skills; ability to work collaboratively in a fast-paced team
