The role focuses on managing and implementing carve-outs, spin-offs, post-acquisition integrations, legal-entity rationalizations and other cross-border business expansions.
Responsibilities include drafting and negotiating primary transaction documents (stock and asset purchase agreements and ancillary agreements), coordinating multinational deal teams and local counsel, resolving legal issues across jurisdictions, and synthesizing high-volume stakeholder feedback to drive successful closings.
- Juris Doctor (JD), foreign law degree with LLM, or equivalent.
- Minimum 5 years' attorney experience at a global law firm, including 5 years advising and coordinating complex cross-border transactions.
- Proven experience leading cross-border deals as lead associate and managing cross-practice teams.
- Strong drafting and negotiation skills for complex transaction documents and ancillary agreements.
- Familiarity with project management tools and legal technology; experience collaborating with tax advisors and other stakeholders.
- Admission to the New York bar required.
