Senior Corporate Associate / Corporate Counsel — New York

Seeking an experienced corporate transactional lawyer to join a busy New York team advising on mergers & acquisitions, corporate governance and related transactional matters. The role suits a senior associate or in-house–facing counsel who will take day-to-day responsibility for deal execution and corporate workstreams.

You will manage due diligence, draft and negotiate definitive documents, advise on governance and corporate structure issues, and coordinate with cross-border and multidisciplinary teams. The position offers substantive deal exposure and opportunities to supervise junior lawyers and collaborate directly with senior attorneys and clients.

• J.D. from an accredited law school and active admission to the New York bar (or ability to obtain).
• Several years of corporate transactional experience, including M&A and corporate governance matters.
• Proven drafting and negotiation skills on purchase agreements, ancillary transaction documents, and governance materials.
• Strong project management, communication skills, and ability to supervise junior team members.
