Seeking a mid-level technology transactions attorney to join a Palo Alto office technology group focused on high‑technology commercial agreements and intellectual property licensing. The role centers on drafting and negotiating complex licensing and commercial arrangements for software, cloud and platform deployments, AI-related integrations, partnering and distribution, and technology transfer relationships.

This is a transactional role (no IP litigation or prosecution). Work may include counseling on transactional privacy, compliance and emerging regulatory matters relating to AI systems. The team emphasizes talent development; successful candidates provide commercially minded, pragmatic advice, learn quickly, and contribute to group training.

3–5 years of experience in technology transactions or IP licensing
Proven drafting and negotiation experience with complex licensing, software, cloud/hosting, and technology transfer agreements
Familiarity with AI-related commercial arrangements and related privacy/regulatory issues
Strong analytical, problem‑solving and project prioritization skills; able to work independently and in teams
Clear, thoughtful drafting and client‑focused commercial judgement
