Mid-level associate opportunity in the corporate group of a leading US law firm, based in New York. The role focuses on shareholder activism, corporate governance and equity capital markets work, supporting high‑profile campaigns and related transactions.

Day‑to‑day responsibilities include advising on shareholder activism and governance matters; assisting on equity offerings (underwritten deals, PIPEs, registered directs and confidentially marketed public offerings); and drafting registration statements and Exchange Act disclosures. You will collaborate closely with senior deal teams and help develop client relationships.

J.D. or equivalent degree
Admission to practice in New York
Experience in securities law, corporate governance and shareholder activism
Familiarity with equity capital markets transactions and Exchange Act disclosure drafting
Strong drafting, negotiation and transaction‑management skills; able to work independently and on fast‑moving, cross‑functional teams
