Mid-level associate role for an experienced funds lawyer with a focus on private equity fund formation and related securities matters. The role involves drafting and negotiating fund formation documents, private placement memoranda and ancillary agreements, and advising on the governance and management-company structures for private equity vehicles.

Work will include both sponsor-side fund formation and institutional investor review/negotiation of fund terms; experience with private equity secondaries or GP-led restructurings is a strong plus. Positions are being considered across multiple U.S. offices (including Chicago, Charlotte and New York).

Applicants must be admitted to the state bar for the office where they will be based. Candidates with prior large-firm fund formation experience are preferred.

  • 4–6 years post-qualification experience in private equity fund formation or related funds work
  • Demonstrable experience drafting/negotiating PPMs, partnership agreements and ancillary fund documents
  • Experience representing either fund sponsors or institutional investors (or both)
  • Working knowledge of securities rules and the Investment Advisers Act
  • Admission to the state bar where the associate will be based
  • Experience with private equity secondaries and/or GP-led restructurings is advantageous
